These terms govern use of unika Healthcare's online platforms including the website and mobile application (collectively the "Site"), as well as associated devices, products, services, and technologies (the "Services").
By clicking "accept," you acknowledge that you have read, understand, and accept all terms and conditions contained within these Terms of Use.
User information is governed by the Privacy Policy, which is incorporated into these Terms of Use.
unika operates as a communication platform connecting independent healthcare providers with patients. unika does not provide medical advice or care.
Healthcare providers using the platform are independent contractors, not unika employees. unika provides administrative and business support services only. Providers deliver clinical services and bear responsibility for care quality.
The platform is not intended to take the place of your relationship with your regular health care practitioners or primary care physician.
unika's services explicitly exclude medical emergencies. Users must seek emergency help or follow-up care when recommended by a Provider.
Users acknowledge potential risks including insufficient information transmission, treatment delays from equipment failures, incomplete medical records access, and possible privacy breaches.
Providers exercise discretion regarding prescriptions and do not prescribe DEA controlled substances or scheduled medications.
Services operate under state and federal regulations and may be geographically restricted. Access to and use of the Site or the Services is limited exclusively to users located in States within the United States.
Order acceptance is not guaranteed. The company reserves rights regarding pricing errors and product returns per stated policies.
Users must create accurate Account information including name, address, phone, and email. The credentials are personal to you, and you are solely responsible for maintaining the confidentiality of your credentials.
Users must notify unika of unauthorized access. The platform prohibits attempting to bypass security measures, accessing unauthorized data, or using automated tools such as scrapers, crawlers, spiders, robots, or other automated means to copy Site data.
By using the Site, users consent to receive communications electronically. All agreements and consents can be signed electronically, and electronic notices satisfy legal writing requirements.
unika may contact users by phone, mail, or email to verify Account information. Failure to provide requested information within 14 days may result in service suspension.
Users providing mobile numbers agree to contact at that number for service-related messages. Users can opt out by texting "STOP," though this may limit Site features.
unika retains all intellectual property rights to the Site. Users receive a revocable, nontransferable, personal, nonexclusive license to use the object code version of the Site.
The platform prohibits reproduction, framing, deep linking, or commercial exploitation without written consent. Users cannot use meta tags or any other hidden text utilizing unika's name or trademarks.
Users under 18 require parental or guardian Account creation. Children under 13 need supervision and parental consent. unika will delete information from minors under 13 lacking proper parental authorization.
unika makes no representations, warranties, or guarantees whatsoever as to the correctness or accuracy of the Site. The company reserves discretion to withdraw functionality and assumes no responsibility for transmission errors or maintaining user-generated information.
The Site may contain links to third-party websites. unika is not responsible for the content, accuracy, or practices of any third-party websites and does not endorse them. Access to third-party sites is at your own risk.
Users must not submit false, defamatory, obscene, threatening, or infringing content. The platform may de-identify and share user information with third parties for analytics, research, or other purposes.
Users indemnify unika against claims arising from their uploaded content or breaches of these terms.
unika and Providers retain all rights to the Site and Services. Users may not store, copy, modify, reproduce, or distribute materials without permission. Unauthorized use of trademarks is prohibited. unika may delete any information provided by you that it deems in its sole discretion fraudulent, abusive, defamatory, obscene, or in violation of copyright or intellectual property rights.
unika commits to complying with anti-spam and telemarketing regulations. Users must not use the platform to market products in violation of these laws or engage in chain letters, hacking attempts, or copyright infringement.
THIS SITE, INCLUDING ANY CONTENT OR INFORMATION CONTAINED WITHIN IT OR ANY SITE-RELATED SERVICE, IS PROVIDED "AS IS," WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
unika does not guarantee prescriptions will be written and disclaims liability for consequences from product use or misuse.
UNIKA SHALL NOT BE LIABLE FOR THE ACTS OR OMISSIONS OF THE PROVIDERS.
The maximum liability is limited to five hundred dollars ($500). Users waive claims for indirect, consequential, or punitive damages.
Nothing in these terms confers rights on third parties or relieves their obligations to users or providers.
Users cannot assign these terms without unika's consent, but unika may freely transfer or assign all or part of the agreement.
Providers must be licensed physicians or contracted healthcare facilities. The Site and the Services are not meant to substitute or modify your professional judgment in any way. Providers are solely responsible for patient agreements, billings, and medical services. Providers must indemnify unika against patient claims arising from their use of the Site and Services.
Providers may not submit defamatory, unlawful, obscene, fraudulent, or infringing content. unika receives a royalty-free, irrevocable right to use provider-submitted content as desired. unika may monitor or remove provider content but assumes no liability for it.
All matters are governed by the laws of the State of California.
unika is not liable for breaches due to events beyond reasonable control, including natural disasters, terrorism, or infrastructure failures.
Users must defend and indemnify unika and Providers against losses, damages, claims, or attorney's fees arising from user misuse, breach of terms, negligence, or infringement of third-party rights.
Support inquiries should be directed to unika. Third parties are not responsible for application support. unika will use commercially reasonable efforts to respond to questions. unika may change or remove features at any time without notice.
unika bears no liability for issues resulting from jailbroken or rooted devices or non-manufacturer-compliant operating systems. Such use occurs at the user's sole risk.
Wireless carriers, device manufacturers, operating system developers, and app store operators are not parties to these terms and bear no responsibility for the Site.
THE SELECT THIRD PARTIES DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, WITH RESPECT TO THE SITE.
Their maximum liability is five dollars ($5), and users waive all claims against them.
Users must comply with U.S. export laws and certify they are not in embargoed countries or on restricted-party lists. Violations result in account termination.
unika reserves the right to terminate access and modify terms at any time, effective upon posting. Users should review terms regularly. These terms constitute the entire agreement and supersede prior understandings. Any unenforceable provisions will be limited to maintain the agreement's validity.
